Capgemini, the French multinational technology services firm, successfully completed its acquisition of WNS (Holdings) Limited, a U.S.-based business process outsourcing (BPO) company with Indian roots, for $3.3 billion. This strategic move aims to position Capgemini at the forefront of agentic AI-driven intelligent operations, enhancing its capabilities in automating and transforming business processes.
The acquisition, announced on July 7, 2025, involved a cash offer of $76.50 per WNS share, representing a 17% premium over WNS’s closing price on July 3, 2025. The transaction was unanimously approved by both companies’ boards and received shareholder approval in August. WNS will now be consolidated into Capgemini’s financial statements, effective from October 17, 2025.
Capgemini CEO Aiman Ezzat emphasized that the integration of WNS’s industry expertise and platforms with Capgemini’s global reach and AI leadership will enable the creation of a global leader in agentic AI-powered intelligent operations. This combination is expected to help clients reinvent their business processes end-to-end, leveraging advanced AI solutions.
The acquisition is anticipated to immediately enhance Capgemini’s revenue and operating margins. Projections indicate a 4% increase in normalized earnings per share by 2026 and 7% by 2027, following the realization of synergies. Revenue synergies are estimated between €100 million and €140 million, while cost and operating efficiencies are expected to generate annual pre-tax savings of €50 million to €70 million by the end of 2027.
WNS, founded in 1996 and listed on the New York Stock Exchange, reported $1.27 billion in revenue for fiscal 2025. With over 66,000 employees, WNS serves clients across various industries, including airlines, banking, and insurance. The acquisition strengthens Capgemini’s presence in the U.S. and U.K. markets and enhances its competitiveness against consulting giants like Deloitte and PwC.
As Capgemini integrates WNS into its operations, the focus will be on leveraging agentic AI to drive intelligent automation and transformation across business processes. The combined entity aims to offer end-to-end digital transformation solutions, positioning Capgemini as a leader in the evolving landscape of AI-powered business services.
