ServiceNow Inc. said it has agreed to acquire cybersecurity specialist Armis Inc. for $7.75 billion in cash, marking one of the largest deals in the enterprise software company’s history as it bolsters its security offerings amid rising AI-driven cyber risks. The transaction, expected to close in the second half of 2026, will be funded through a mix of cash on hand and debt, ServiceNow said.
Armis, a leader in cyber exposure management and cyber-physical security, provides real-time visibility and threat detection across IT, operational technology (OT), industrial systems, medical devices and other connected assets areas that traditional tools often struggle to monitor comprehensively. The acquisition will expand ServiceNow’s security and risk capabilities and support its strategy to deliver proactive, AI-native cybersecurity solutions across the full attack surface.
ServiceNow President and COO Amit Zavery said the combination will create “a unified, end-to-end security exposure and operations stack that can see, decide, and act across the entire technology footprint”, helping organisations respond to threats automatically through integrated workflows.
Founded in 2015, Armis has grown rapidly, with annual recurring revenue topping $340 million and year-over-year growth exceeding 50 per cent, the companies said. Armis technology will be paired with ServiceNow’s AI Platform, workflow automation and configuration management database (CMDB) to deliver continuous asset discovery, risk prioritisation and automated remediation at scale.
The deal is part of ServiceNow’s broader acquisition strategy in 2025, which has included purchases of AI and security firms such as Moveworks and Veza, as the company seeks to triple its addressable market in cybersecurity and position itself as a central platform for enterprise AI governance and risk management.
The acquisition underscores intensified competition in cybersecurity as enterprises grapple with increasingly sophisticated threats driven by widespread adoption of artificial intelligence and connected technologies.
